The Henssler Model Portfolio

While the Henssler Model Portfolio (Model Portfolio) was created on December 31, 1993 to reflect the investment strategy and asset allocation policy of the Henssler equity strategy, it does not represent actual trading and may not reflect the impact that material economic and market factors might have had on the decision-making process. Henssler cannot assure that the performance results shown for the Model Portfolio would be similar to what the firm's experience would have been had it actually been managing portfolios in this manner. The Model Portfolio (net of fees) assumes a 1.25% management fee, the highest fee level. Gross of fees performance is presented net of brokerage commissions and other expenses, but does not reflect the deduction for custodial and advisory fees, or the impact of income taxes. Performance results do reflect reinvestment dividends, interest and realized capital gains. Fees are more fully described in Part II of Henssler's Form ADV.

The Model Portfolio is comprised of approximately forty six (46) stocks. It is a broadly diversified group with a beta of approximately 0.84 (calculated as of December 31, 2007). Accordingly, its volatility may be expected to be approximately the same as that of the S&P 500 Index, the Dow Jones Industrial Average (DJIA) and the Value Line Composite Average. However, the average financial strength (as calculated by Value Line Investment Survey) of the stocks comprising the Model Portfolio is higher than that of the S&P 500. For example, many stocks in the S&P 500 Index do not meet the minimum quality requirements for the Model Portfolio. The Model Portfolio represents nine (9) of the ten (10) basic economic sectors and is not modeled on any particular index.

Clients are not advised to invest in equity investments unless they anticipate a long-term (generally ten (10) years) investment horizon. While the value of stocks may increase, they may also fall. Past performance is not an indication of future performance expectations.

Comparative Indices

The S&P 500 Index is a value-weighted index comprised of 500 issues listed on various exchanges. Its beta is approximately 1.0. The index includes representation in the following economic sectors: Materials, Consumer Discretionary, Consumer Staples, Information Technology, Telecommunication Services, Energy, Financials, Healthcare, Industrials and Utilities. It is not an investment vehicle available for purchase. Unlike the index, the Henssler Model Portfolio does not have representation in the Telecommunications or Utilities sectors.

The DJIA is a price-weighted average (beta approximately 0.94 as of December 31, 2007) of thirty (30) industrial stocks that are recognized as leaders in the industry. Its wide recognition and familiarity warrant its inclusion. It is not an investment vehicle available for purchase. Significant differences exist between the Dow and the Henssler Model Portfolio, including, lower sector weightings in Industrials, Health, Energy, Financials and Technology and generally higher weightings in Consumer Staples and Materials.
